These Terms of Service govern your access to and use of Residents Guide.

These Terms apply to residents.guide, all local market sites, subdomains, help center pages, listings, guides, accounts, reviews, comments, communications, business tools, community features, offers, events, and related services operated by Residents Guide LLC.

By accessing or using Residents Guide, you agree to these Terms. If you do not agree to these Terms, do not use the platform.

Residents Guide may update these Terms from time to time. Continued use of the platform after changes are posted constitutes acceptance of the updated Terms.

Residents Guide operates a platform for resident discovery, local guides, business listings, publishing, community, and business visibility.

The platform may include resident guides, local market sites, neighborhood pages, business listings, claimed listings, verified listings, enhanced listings, featured placements, sponsored content, reviews, comments, resident accounts, business accounts, community features, offers, events, booking or reservation links, messaging or contact tools, email and text communications, support articles, help center resources, and related digital services.

These Terms apply across the full Residents Guide system, including current and future services, features, tools, pages, and local market experiences.

You may use Residents Guide only if you are legally able to agree to these Terms.

You are responsible for your own use of the platform. If you create an account, submit information, claim a listing, post content, contact a business, redeem an offer, or participate in platform activity, you agree that the information you provide is accurate and that you have the authority to provide it.

Some Residents Guide features may require an account.

You are responsible for maintaining the confidentiality of your account login information and for all activity that occurs under your account.

You agree not to create an account using false information, impersonate another person or business, share login credentials in a way that creates unauthorized access, use another person’s account without permission, attempt to bypass account restrictions, or use the platform for unlawful, abusive, misleading, or harmful activity.

Residents Guide may suspend, restrict, or terminate accounts that violate these Terms or create risk to the platform, users, businesses, or Residents Guide.

Residents may use Residents Guide to discover local businesses, read guides, browse listings, save content, contact businesses, review businesses, participate in community features, view events, redeem offers, and access related services. Residents are responsible for their own decisions when using the platform. Residents Guide does not guarantee the quality, safety, availability, pricing, accuracy, service level, business hours, offers, promotions, events, or performance of any business listed or referenced on the platform.

Businesses may appear on Residents Guide through directory listings, editorial coverage, claimed listings, verified listings, enhanced listings, sponsored placements, featured placements, guide participation, promotional packages, business profiles, offers, events, and other visibility products.

Businesses are responsible for the accuracy of information they submit or approve, including business name, address, phone number, website, hours, description, categories, menus, services, offers, pricing, photos, event information, booking or reservation links, staff or representative information, and other listing details.

Residents Guide may review, organize, edit, format, publish, update, reject, remove, or display business information in order to operate the platform, maintain quality, improve resident discovery, and support platform consistency.

Residents Guide may offer listing products that include claimed listings, verified listings, enhanced listings, featured placements, sponsored placements, guide sponsorships, promotional packages, and other business visibility services.

A claimed, verified, enhanced, featured, or sponsored status does not guarantee traffic, leads, sales, reviews, bookings, resident engagement, search ranking, event attendance, or any specific business result.

Residents Guide may determine how listings, guides, categories, neighborhoods, featured placements, sponsorships, and promotional surfaces appear across the platform. Residents Guide may change, rotate, pause, remove, or restructure listing and promotional placements at its discretion.

Residents Guide may publish business and local information for discovery purposes. Some listing information may be submitted by businesses, users, public sources, partners, service providers, or Residents Guide team members.

Residents Guide works to maintain useful and accurate information, but does not guarantee that all listing information is complete, current, or error-free.

Users and businesses should verify important details directly with the business before making decisions, visiting, purchasing, booking, attending, or relying on listing information.

Residents Guide publishes guides, articles, collections, recommendations, neighborhood content, category content, event content, and other editorial or discovery material.

Editorial content may include businesses, neighborhoods, sponsors, featured placements, paid participants, unpaid participants, local references, resident recommendations, and curated selections.

Residents Guide may determine which businesses, places, neighborhoods, events, offers, or categories are included in editorial content. Inclusion in a guide does not create a guarantee of performance, endorsement, exclusivity, ranking, or future inclusion.

Residents Guide may update, remove, revise, reorganize, or republish editorial content at any time.

Residents Guide may offer paid visibility, sponsorships, enhanced listings, featured placements, guide sponsorships, promotional packages, advertising, and other paid services.

Paid participation may affect visibility, placement, or presentation in certain areas of the platform. Residents Guide may identify sponsored, featured, promoted, verified, or paid placements where appropriate.

Payment for visibility does not guarantee specific results, including leads, sales, traffic, account signups, reviews, bookings, event attendance, resident engagement, search rankings, or revenue.

Users may be able to submit reviews, ratings, comments, messages, photos, recommendations, feedback, profile information, business information, event information, offer information, and other content.

You are responsible for the content you submit.

You agree not to submit content that is false, misleading, fraudulent, defamatory, abusive, harassing, discriminatory, obscene, sexually explicit, violent, threatening, unlawful, spam, infringing, malicious, harmful, unrelated to the platform, or designed to manipulate ratings, reviews, rankings, or visibility.

Residents Guide may moderate, edit, refuse, hide, remove, or restrict user content at its discretion. Residents Guide is not required to publish any submitted content.

Reviews, comments, and user submissions do not necessarily reflect the views of Residents Guide.

By submitting content to Residents Guide, you grant Residents Guide a non-exclusive, worldwide, royalty-free license to use, host, store, reproduce, edit, display, publish, distribute, promote, translate, format, and adapt that content for platform operation, marketing, moderation, discovery, communication, and related business purposes.

This may include use across residents.guide, local market sites, listing pages, guides, emails, support tools, social media, promotional materials, business materials, and related services.

You represent that you have the rights needed to submit the content and grant this license. You retain ownership of content you submit, subject to the rights granted to Residents Guide in these Terms.

Residents Guide may display offers, events, reservations, booking links, ticketing links, QR codes, promotions, business specials, event schedules, watch parties, menus, contact buttons, and related actions.

Unless clearly stated otherwise, businesses are responsible for their own offers, events, reservations, services, products, pricing, fulfillment, refunds, availability, quality, safety, and customer interactions.

Residents Guide is not responsible for a business failing to honor an offer, event, reservation, promotion, booking, discount, special, service, product, or communication.

Residents should confirm important details directly with the business before purchasing, attending, booking, redeeming, or relying on any offer or event information.

Residents Guide may charge businesses or users for certain products, services, listings, sponsorships, promotional placements, subscriptions, deposits, upgrades, renewals, advertising, event tools, or other paid services.

Payment terms may be provided in invoices, checkout pages, order forms, agreements, listing packages, subscription terms, or other written communications.

Unless otherwise stated in writing, fees are due according to the payment terms presented at purchase, invoice, or agreement.

Residents Guide may use third-party payment processors or service providers to process payments. Residents Guide may change pricing, packages, features, renewal terms, or paid service availability at any time.

Refunds, credits, cancellations, renewals, and billing adjustments are handled according to the terms provided at purchase or in the applicable written agreement.

Residents Guide does not guarantee any specific outcome from use of the platform.

Residents Guide does not guarantee traffic, leads, sales, resident signups, bookings, reservations, event attendance, reviews, ratings, revenue, search rankings, guide placement, category ranking, neighborhood ranking, profile views, offer redemptions, customer engagement, business growth, marketing performance, brand exposure, or return on investment.

Any projections, examples, estimates, case studies, forecasts, or performance discussions are informational only and do not create a guarantee.

You agree not to misuse Residents Guide.

You may not violate any law or regulation, submit false or misleading information, post fake reviews, manipulate ratings or rankings, impersonate another person, business, or organization, harass or threaten others, scrape or extract platform data without permission, interfere with platform security or operation, attempt unauthorized access, upload harmful code, spam users or businesses, use the platform for deceptive marketing, distribute unlawful or harmful content, misrepresent your relationship with Residents Guide, or use Residents Guide intellectual property without permission.

Residents Guide may investigate misuse and take action, including removing content, restricting access, suspending accounts, removing listings, or pursuing other remedies.

Residents Guide may restrict or remove content that includes illegal activity, fraud, hate or discriminatory content, harassment, threats, violence, sexual exploitation, obscene material, misleading claims, defamation, spam, malware, unauthorized advertising, intellectual property infringement, private information shared without permission, or content that creates safety, legal, operational, or reputational risk.

Residents Guide may make moderation decisions at its discretion.

Residents Guide owns or controls its brand, name, logos, marks, design, layout, original content, guides, articles, systems, software elements, platform structure, workflows, graphics, copy, collections, categories, and other protected materials.

You may not copy, reproduce, distribute, sell, modify, reverse engineer, scrape, frame, or exploit Residents Guide materials without written permission.

You may link to public Residents Guide pages in a fair and lawful manner, provided the link does not misrepresent your relationship with Residents Guide.

Business names, logos, trademarks, photos, and materials submitted by businesses remain the property of their respective owners, subject to the license granted to Residents Guide for platform use.

Residents Guide may use third-party service providers, software providers, hosting providers, payment processors, communication tools, analytics tools, support tools, mapping tools, embedded tools, and other external services to operate and support the platform.

Residents Guide may also link to external websites, business websites, booking tools, payment pages, social media profiles, event pages, maps, articles, or other resources not controlled by Residents Guide.

Residents Guide is not responsible for third-party services, external websites, external tools, payment processors, business websites, booking services, event platforms, or any services not controlled by Residents Guide.

Your use of third-party services may be governed by separate terms and privacy policies.

Residents Guide may update, change, suspend, remove, replace, restructure, or discontinue any part of the platform at any time.

This includes features, listings, guides, categories, neighborhoods, accounts, community tools, events, offers, pricing, packages, search tools, business tools, support tools, designs, content, and market availability.

Residents Guide does not guarantee uninterrupted access, error-free operation, or permanent availability of any feature or service.

Residents Guide may suspend, restrict, or terminate access to the platform, accounts, listings, content, reviews, comments, business tools, or paid services if Residents Guide believes there has been a violation of these Terms, misuse of the platform, legal risk, payment failure, fraud, abuse, or conduct that may harm Residents Guide, users, businesses, or the platform.

Residents Guide may remove or restrict content, listings, accounts, or access without prior notice where appropriate.

Residents Guide is not automatically a party to disputes between residents and businesses.

Businesses are responsible for their own products, services, pricing, customer service, reservations, bookings, offers, events, refunds, warranties, safety, quality, availability, and communications.

Residents are responsible for evaluating and choosing the businesses they contact, visit, purchase from, book with, or engage through the platform.

Residents Guide may, at its discretion, provide support, remove content, update listings, or take platform action, but Residents Guide is not obligated to resolve disputes between residents and businesses.

Use of Residents Guide is also governed by the Residents Guide Privacy Policy.

The Privacy Policy explains how Residents Guide collects, uses, protects, and manages information across residents.guide, local market sites, listings, accounts, guides, reviews, communications, and related services.

By using Residents Guide, you agree to the Privacy Policy.

By using Residents Guide, creating an account, submitting information, contacting a business, claiming a listing, purchasing a service, subscribing to updates, or communicating with Residents Guide, you may receive communications from Residents Guide.

Communications may include account notices, support messages, transactional messages, listing updates, business inquiries, resident updates, platform notices, policy updates, marketing communications, newsletter messages, event-related messages, and offer-related messages.

You may opt out of certain marketing communications where available. Some transactional, account, legal, or service-related communications may still be sent when necessary.

Residents Guide is provided on an “as is” and “as available” basis.

Residents Guide does not guarantee that the platform will be uninterrupted, secure, error-free, complete, accurate, current, or available at all times.

Residents Guide does not guarantee the accuracy, availability, quality, safety, pricing, legality, service, performance, or reliability of any business, listing, event, offer, review, comment, user content, external website, third-party service, or platform feature.

Residents Guide does not provide professional, legal, financial, real estate, medical, safety, or other regulated advice through general platform content unless expressly stated in a separate written agreement.

To the maximum extent permitted by law, Residents Guide LLC, its owners, officers, employees, contractors, representatives, partners, affiliates, and service providers are not liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages arising from or related to use of the platform.

This includes damages related to platform use, platform unavailability, listing errors, business interactions, resident-business disputes, lost revenue, lost opportunities, lost data, third-party services, external websites, reviews, comments, user content, offers, events, payments, communications, search results, featured placements, sponsored placements, and business outcomes.

To the maximum extent permitted by law, Residents Guide’s total liability for any claim related to the platform will not exceed the amount paid by you to Residents Guide for the specific service giving rise to the claim during the three months before the claim arose, or one hundred dollars if no payment was made.

You agree to defend, indemnify, and hold harmless Residents Guide LLC, its owners, officers, employees, contractors, representatives, partners, affiliates, and service providers from claims, damages, losses, liabilities, costs, and expenses arising from or related to your use of the platform, your submitted content, your listing information, your business activity, your violation of these Terms, your violation of law, your infringement of another person’s rights, your dispute with another user or business, your misuse of the platform, or your products, services, events, offers, or business operations.

These Terms are governed by the laws of the State of Wyoming, without regard to conflict of law principles.

Where permitted by law, any dispute arising from or related to these Terms or use of Residents Guide will be handled in the state or federal courts located in Wyoming, unless another venue is required by applicable law.

Residents Guide may update these Terms at any time.

When changes are made, Residents Guide may update the “Last Updated” date or provide notice through the platform, email, help center, or other reasonable methods.

Continued use of Residents Guide after updated Terms are posted means you accept the updated Terms.
